PROJECTOR.TV TERMS & CONDITIONS

Projector.tv Media Limited its subsidiaries and affiliates (collectively, "Projector") provide access to www.projector.tv and other websites operated by Projector (collectively, "Projector Websites") subject to these Terms and Conditions ("Terms"). By shopping at or visiting Projector Websites, you agree to these Terms and our Websites Privacy Policy. Please read them carefully. If you do not agree to these Terms please do not register or otherwise use Projector Websites.

Projector reserves the right to make changes to the Projector Websites, our policies, and these Terms at any time. Any changes to the Terms will be reflected on the Projector Websites.

The online store is available for non-commercial and domestic use only. Projector reserves the right to refuse orders from businesses, or those that we consider are for commercial or other non-domestic concerns.

COPYRIGHT AND INTELLECTUAL PROPERTY

All content included on the Websites including website design, text, graphics, images, the selection and arrangement thereof, and all software compilations, underlying source code, software (including applets) and all other material on the Projector Websites are the copyright or other intellectual property of Projector or of its content and technology providers. The compilation of all content on each Projector Website is the exclusive property of Projector and is protected by international law. ALL RIGHTS RESERVED.

Personal permission is granted to registrants to electronically copy and to print hard copy portions of Projector Websites for the sole purpose of facilitating the purchase of Projector products. Any other use of materials on Projector Websites, including reproduction for purposes other than those noted above, modification, distribution, or republication for commercial use or otherwise without the prior written permission of Projector, is strictly prohibited.

TRADEMARKS

Projector and any of its relevant logos, the Projector logo, projector.tv, and other Projector Websites and Projector services referenced on Projector Websites are either trade dress, trademarks or registered trademarks of Projector.

Projector Website graphics, logos, page headers, button icons, scripts, and service names are trademarks or trade dress of Projector. Projector's trademarks and trade dress may not be used in connection with any product or service that is not Projector’s, in any manner that is likely to cause confusion among consumers or in any manner that disparages or discredits Projector.

REVIEWS, COMMENTS, COMMUNICATIONS, AND OTHER CONTENT

Visitors may post reviews, comments, and other communications; and submit suggestions, ideas, comments, questions, or other information, so long as the content is not illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties or objectionable and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of “spam”. Visitors may not use a false email address, impersonate any person or entity, or otherwise mislead as to the origin of a card or other content.

By sending emails, submitting reviews, or otherwise communicating with Projector you grant Projector a perpetual, non-exclusive, royalty-free, unrestricted, worldwide license to use, display, sublicense, adapt, transmit and copy such communication in any media. The foregoing grant shall include the right to exploit any proprietary rights in such communication, including but not limited to rights under trademark, copyright, service mark or patent laws in any relevant jurisdiction. Projector reserves the right to remove or edit the content of Projector Websites (explicitly including projector.tv) customer reviews.

You represent and warrant that you own or otherwise control all of the rights to the content that you post; that the content is accurate; that use of the content you supply does not violate this policy and will not cause injury to any person or entity; and that you will indemnify Projector for all claims resulting from content you supply. You agree that Projector has the right (but not the obligation) to monitor and edit or remove any activity or content at its sole discretion. Projector takes no responsibility and assumes no liability for any content posted by you or any third party.

You will be responsible for Projector’s losses and costs resulting from your breach of this clause.

REGISTRATION

You warrant that:

You are of responsible age/over eighteen years of age.
The Personal Information which you are required to provide when you register as a customer is true, accurate, current and complete in all respects;
You will not impersonate any other person or entity or a name that you are not authorised to use; and,
You will notify us immediately of any changes to the Personal Information by updating it on the Projector Websites, by emailing info@projector.tv or by contacting us by telephone between the hours of 10am and 5pm GMT.

PASSWORD AND ACCOUNT SECURITY

Every user that has an account on one of the Projector Websites is responsible for (i) keeping his or her account password confidential and secure; (ii) restricting access to such user’s computer; and (iii) keeping the email address associated with that account current. The user acknowledges that it is important to keep the email address associated with his or her account current in order to receive messages from Projector about his or her purchases and orders and inquiries or other matters. If Projector believes that there is likely to be a breach of security or misuse of the Projector Websites you may be required to change your password or suspend your account.

PURCHASE OF PRODUCTS FROM PROJECTOR WEBSITES

No contract will subsist between you and Projector for the sale by it to you of any product unless and until Projector actually provides the product or products to you. At any point up until then, Projector may decline to supply the goods to you without giving any reason. Projector is entitled to withdraw from any contract in the case of errors or inaccuracies regarding the goods or the order appearing on Projector Websites.

PRICING

Whilst Projector will make reasonable efforts to ensure that prices on Projector Websites are accurate, it will not be responsible for any errors that may occur. If Projector discovers any errors in the price of goods, Projector will notify you as soon as possible and give you the option to resubmit your order at the correct price or cancel the order.

All prices are expressed as inclusive of any VAT or other sales tax payable unless otherwise stated.

Authority for payment must be given at the time of placing your order.

AVAILABILITY

The online services provided via projector.tv are only intended for use by people resident in the UK. Projector does not accept orders from individuals from outside the UK. All orders are subject to availability, and Projector can not guarantee the availability of any specific products.

In the event that Projector discovers that goods are unavailable after an order has been placed, Projector shall send you a notification giving you the option to modify or cancel the order.

GUARANTEE AND CANCELLATION OF SERVICE

Except in cases of faulty, damaged or wrongly supplied goods you shall be responsible for paying the cost of goods ordered. Projector will not refund an order made by you except for in the unlikely event of faulty, damaged or wrongly supplied goods being provided to you, unless otherwise required by law. Please note that your ability to use the on-line entertainment services provided and the quality of that service will depend on the speed and availability of bandwidth of your internet access, computer and computer processor. From time to time, restrictions may be put in place on access to the site which Projector may not be held liable for.

Projector reserves the right to withdraw or amend the services it provides without notice. Projector shall not be liable for any reason any of its Projector Websites is unavailable at any time or for any period. You are responsible for ensuring that all persons that access Projector Websites through your internet connection are aware of these Terms and that they warrant to comply with them.

Projector shall not be held liable or responsible for any failure to perform, or delay in performance of, any of its obligations under these Terms that is caused by events outside its control, including but not limited to: strikes, industrial action, civil unrest and commotion, riot, invasion, terrorist attacks (whether threatened or actual), war (whether declared or not), threat or preparation for war, fire, explosion, storm, flood, any type of natural disaster, impossibility of the use of public or private transport and public or private telecommunication networks, legislation and any type of restrictions by any type of government act. Projector’s performance under these Terms is deemed to be suspended for the period that any such event takes place, whether reasonably envisaged or not, and Projector shall have an extension of time for performance for the duration of that period. Projector shall use its best endeavours to ensure normal service is resumed as soon as practicably possible.

LICENSE AND SITE ACCESS

Projector grants you a limited license to access and make personal use of Projector Websites and not to download (other than page caching) or modify them, or any portion of them, except with express written consent of Projector. This license explicitly does not include any copying, resale or commercial use of Projector Websites or their contents; any collection and use of any product listings, descriptions, or prices; any derivative use of the Projector Websites or their contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots, or similar data gathering and extraction tools. Projector may choose to process information about you in accordance with its Privacy Policy. By using Projector Websites you consent to such processing and warrant that all data provided by you is accurate and true. Through Projector Websites, you can make use of the pay-per-view film on demand service which allows you to place orders to stream or down load to own feature length films, short films and other audio visual content via the internet. Your order constitutes an offer to pay to Projector the relevant charge for that chosen content, if and where a charge applies. Any acceptance by Projector to provide the content shall give rise to a binding contract of which these Terms shall be material.

Projector shall notify you to confirm the goods you wish to purchase once you have placed your order. This notification shall take the form of a durable medium, such as sms or email. On receipt of the notification of your order, you would have entered into a binding contract and all the obligations and liabilities that are referred to within these Terms shall take hold.Neither the Projector Websites nor any portion thereof may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of Projector. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, films, text, page layout, or form) of any of the Projector Websites without express written consent. You may not use any meta tags or any other “hidden text” utilising Projector’s name or trademarks without the express written consent of Projector. Any unauthorised use terminates the permission or license granted by Projector. You are granted a limited, revocable, and nonexclusive right to create hyperlinks to the home pages of the Projector Websites so long as the links do not portray Projector, its affiliates, or their products or services in a false, misleading, derogatory, or otherwise offensive manner. You may not use any Projector logo or other proprietary graphic, trade dress or trademark as part of the link without express written permission.

VIRUSES, HACKING AND OTHER OFFENCES

You must not misuse Projector Websites by knowingly introducing viruses, Trojans, worms, logic bombs or any other material which is, or could be deemed to be, malicious or technologically harmful. You must not attempt to gain unauthorized access to Projector Websites, the server on which Projector Websites are stored or any server, computer or database connected to Projector Websites. You must not attack Projector Websites via a denial-of-service attack or a distributed denial-of-service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and Projector will co-operate with those authorities by disclosing your identity to them. In the event of such breach, your right to use and access the Projector Website will cease immediately.

Projector shall not be held liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of Projector Websites or to your downloading of any material posted on it, or any website that may be linked to it.

INDEMNITY

You agree to defend, indemnify and hold Projector and any affiliated company or individual harmless from any and all liabilities, costs and expenses, including reasonable legal fees, related to any violation of these Terms by you or your authorised users, or in connection with the use of the Projector Websites or the Internet or the placement or transmission of any message or information on the Projector Websites by you or your authorised users. Projector shall provide notice to you promptly of any such claim, suit or proceeding and shall reasonably cooperate with you, at your expense, in your defense of any such claim, suit or proceeding.

TERMINATION OF USAGE

Projector reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at its sole discretion at any time.

TERMINATION OF AGREEMENT

This agreement may be terminated by Projector at any time without notice. In the event of termination, you will no longer be authorised to have access to the Projector Websites, and all limitations on Projector’s liability and on your use of Projector material shall survive. A waiver by Projector of any default by the visitor shall not constitute a waiver of any subsequent default. No waiver by Projector of the Terms shall not be deemed to be a termination of these Terms, and no waiver by Projector of any of these Terms shall be effective unless it is expressly stated to be a waiver and is communicated to you.

ENTIRE AGREEMENT / SEVERABILITY

These Terms, along with any additional rules or conditions referred to herein, constitute the entire agreement and understanding between you and Projector as to your use of the Projector Websites, superseding all prior or contemporaneous communications and/or proposals. These Terms are severable, and in the event any provision is determined to be invalid or unenforceable, such invalidity or unenforceability shall not in any way affect the validity or enforceability of the remaining provisions. A printed version of these Terms shall be admissible in judicial or administrative proceedings based upon or relating to use of the Projector Websites to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

DISCLAIMER

TO THE FULLEST EXTENT PERMITTED BY LAW, PROJECTOR PROVIDES THE PROJECTOR WEBSITES AND THEIR CONTENTS ON AN “AS IS” BASIS AND MAKES NO (AND EXPRESSLY DISCLAIMS ALL) REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, WITH RESPECT TO THE PROJECTOR WEBSITES OR THE INFORMATION, CONTENT, MATERIALS OR PRODUCTS INCLUDED ON PROJECTOR WEBSITES INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN ADDITION, PROJECTOR DOES NOT REPRESENT OR WARRANT THAT THE INFORMATION ACCESSIBLE VIA PROJECTOR WEBSITES IS ACCURATE, COMPLETE OR CURRENT.

Except as specifically stated on the Projector Websites, to the fullest extent permitted by law, neither Projector nor any of its affiliates, directors, employees or other representatives will be liable for damages arising out of or in connection with the use of the Projector Websites or the information, content, materials or products included on the Projector Websites. This is a comprehensive limitation of liability that applies to all damages of any kind, including (without limitation) compensatory, direct indirect or consequential damages, loss of data, income or profit, loss of or damage to property and claims of third parties. For the avoidance of doubt, Projector does not limit its liability for death or personal injury to the extent only that it arises as a result of the negligence of Projector, its affiliates, directors, employees or other representatives.

GOVERNING LAW AND JURISDICTION

Any such contract will be interpreted, construed and enforced in all respects in accordance with the laws of England, and you and Projector irrevocably submit to the non-exclusive jurisdiction of the English Courts.

Projector makes no promise that materials on the Projector Websites are appropriate or available for use in locations outside the United Kingdom, and accessing the Projector Websites from territories where its contents may be illegal or unlawful is prohibited. If you choose to access this site from locations outside the United Kingdom, you do so on your own initiative and are responsible for compliance with any local laws.
